Spain Company Lookup: A Register Presumed Accurate

A Spain company lookup runs through the Registro Mercantil, a public office under the Dirección General de los Registros y del Notariado at the Ministerio de Justicia. Access runs through two doors: the Colegio de Registradores at sede.registradores.org for company information, and the Registro Mercantil Central at rmc.es for company-name searches. This guide covers what each one reaches, what a nota informativa contains, and where the central register stops and a provincial one begins. Spain company lookup: the short version

  • The Registro Mercantil is a public office in every provincial capital and in a number of island and enclave cities. There is one Registro Mercantil Central, responsible for attributing company and commercial entity names.
  • "El contenido del Registro se presume exacto y válido." The content of the register is presumed exact and valid.
  • That presumption rests on a person. The registrador is a practising lawyer exercising a public function who qualifies and controls the legality of every document entering the register, under his own responsibility.
  • What a nota informativa shows depends in part on the company — the segments appear "siempre y cuando la sociedad lo permita". And the Central register gives notas simples but not certifications, except those relating to names.

The presumption, and the registrador behind it

Most company registers are archives. They record what was filed, and they are careful to say that recording is not endorsing. Spain's says something different, in six words:

"El contenido del Registro se presume exacto y válido."

The content of the register is presumed exact and valid. Inscriptions in the Registro Mercantil carry strong legal effects, and the Colegio de Registradores attributes those effects to a cause — como consecuencia del control registral, as a consequence of registry control.

That control is not a process. It is a person:

"El registrador es un jurista profesional del derecho que ejerce una función pública: califica y controla bajo su responsabilidad la legalidad de todos los documentos que deben acceder al Registro."

The registrador is a professional jurist of the law exercising a public function: he qualifies and controls, under his own responsibility, the legality of all documents that must enter the Register.

Read the two sentences together, because neither works alone. The presumption is not a courtesy the law extends to whatever arrives at the counter — it exists because a qualified lawyer examined the document first and decided whether it was legally fit to enter. And that lawyer carries the responsibility personally. Bajo su responsabilidad is doing real work in that sentence: the check is not an institutional formality but an act someone is answerable for.

The contrast with a US state register is exact enough to be worth one paragraph, and it is not a ranking. The Nevada business lookup guide covers a register whose own statute, NRS 225.083, states that "The Secretary of State is not responsible for the content, completeness or accuracy of any document filed in this office" — and where the scanned document becomes the official record, so the office guarantees a true copy of a submission rather than a true statement about a company. Spain presumes the content exact and valid; Nevada disclaims responsibility for it. Two registers, two opposite legal postures, each written into law and each published by the office that holds it. Neither is a better register than the other; they are answers to different questions about what a register is for.

Two doors: sede.registradores.org and rmc.es

Company information is searched at sede.registradores.org, and there are three ways in: by denominación social — the registered company name — by NIF, the tax identification number, or by representación social, which starts from the person rather than the company.

The access rule is unusually relaxed for a register with this much legal weight: "No es necesario darse de alta en el servicio. Se puede solicitar la información como usuario esporádico." There is no need to register for the service; information can be requested as an occasional user.

The second door is the Registro Mercantil Central at rmc.es, and it answers a different question. The Central register is responsible for the attribution of company and commercial entity names — so a name search, and in particular a check on whether a name is available or already taken, belongs there rather than at a provincial office.

Our own reading on which door to use first, which is not the register's: search by NIF where you have one, because it resolves to a single entity. A denominación social will not, since Spanish trading names repeat across corporate groups and regions, and representación social starts from a person who may appear at several companies.

What a nota informativa shows — and what the company permits

The nota informativa mercantil is the ordinary informative output, and the register describes its contents with a condition attached. It "puede llevar consigo los siguientes segmentos de información, siempre y cuando la sociedad lo permita" — it may carry the following segments of information, provided the company permits it.

The segments named are basic data: denominación social, NIF, CNAE (the activity classification), registered internet domains, domicilio, objeto social, registration data, current presentation entries, special situations and the last available deposit.

Alongside them, the information blocks available include general and identifying data, capital social, representación social, acts registered and published in the BORME, deposited accounts and legalised books.

Stop on the condition rather than the list. Siempre y cuando la sociedad lo permita means what a nota informativa discloses is not fixed by the register alone — the company has a say in it. The source states that dependency and does not explain it: it does not say which segments a company can withhold, on what grounds, or how a reader can tell whether something is absent because it does not exist or because it was not permitted. This page will not fill that in. The honest version is the one the register gives: two notas informativas on two Spanish companies may not be comparable documents, and nothing on the face of either will tell you so.

A second register in this series lets the subject influence disclosure, and the comparison is useful precisely because the Dutch mechanism is the documented one. What a Spanish company register entry contains

Where a Spain lookup stops: central and provincial

The Registro Mercantil Central is the door most foreign readers find first, and it is the one that stops soonest.

Per article 379 of the Reglamento del Registro Mercantil, the Central register handles the ordering, processing and publicity of data received from the provincial Registros Mercantiles — and the statute describes that publicity as meramente informativa, merely informative. It also holds the archive and publicity of entity names, publishes the BORME, and keeps the register of companies that moved their domicile abroad without losing Spanish nationality.

The limit follows from that description, and the e-Justice portal states it directly: "El Registro Mercantil Central puede dar notas simples, conforme al artículo 23 del Código de Comercio y 382 del Reglamento del Registro Mercantil, pero no certificaciones salvo las relativas a razones y denominaciones sociales y de entidades inscritas." The Central register can give notas simples under article 23 of the Código de Comercio and article 382 of the Reglamento, but not certifications, except those relating to company and registered-entity names.

So the practical rule is a routing rule. If you need to know, the Central register will tell you. If you need to prove, you go to the provincial Registro Mercantil where the company is registered — except where what you need to prove is a name, which is the Central register's own competence. A document obtained in the wrong place is not a weaker version of the right one; for names it is the right one, and for everything else it is not a certification at all.

One procedural change is worth carrying. Under Ley 11/2023 on the digitalisation of notarial and registry acts, certifications are now always issued in electronic format and on electronic media — without prejudice to requesting a printed copy in person at the Registro's offices.

Spain is not alone in marking its freely reachable layer as something less than the whole register. Spain's Central register calls its publicity meramente informativa. Two states, two ways of saying the same careful thing: the layer you reach first is not the register.

Data quality pitfalls to avoid in Spain

Reading a nota informativa as a complete and comparable document. The register states the segments appear provided the company permits it, so an absent segment may mean the data does not exist or may mean it was not permitted, and the document does not distinguish them.

Taking a Central register output as evidence. The Registro Mercantil Central gives notas simples but not certifications, except those relating to names, and article 379 describes its publicity of received data as merely informative.

Treating the presumption as a guarantee about a company. What is presumed exact and valid is the content of the register, following the registrador's qualification of the documents that entered it. That is a statement about registry control, not a warranty about commercial conduct.

Keying on denominación social. Names repeat across Spanish corporate groups and regions; the NIF is the identifier that resolves to one entity.

Looking for a name decision at a provincial office. Attribution of company and entity names is the Registro Mercantil Central's own competence, and it is the one thing it certifies.

Expecting a paper certification by default. Under Ley 11/2023 certifications are issued electronically and on electronic media, with a printed copy available in person at the Registro's offices.

A repeatable Spain company lookup workflow

  1. Search by NIF where you have one, by denominación social where you do not, and by representación social when you are starting from a person.
  2. Use rmc.es for anything to do with a name, and sede.registradores.org for information about a company.
  3. Record which office produced each document, Central or provincial, alongside the document itself.
  4. Ask whether you need to know or need to prove before requesting anything — the answer decides the office.
  5. Treat an absent segment in a nota informativa as undetermined rather than as nil.
  6. Expect a certification to arrive in electronic form, and request a printed copy in person only if you actually need one.
